What is a SPA (Sales Purchase Agreement) in Dubai?

The SPA is the binding contract between you and the developer for an off-plan unit: price, payment schedule, unit specification and what happens if either side does not perform. Read it before you pay, not after.

The SPA, short for Sales Purchase Agreement, is the contract you sign with the developer when you buy an off-plan unit in Dubai. It sets out the price, the payment schedule, the exact unit you are buying, and the obligations on both sides, including what happens if the developer is late or if you stop paying. It is the document that governs your purchase from booking to handover, and it is what gets registered with the Dubai Land Department through Oqood once you have signed and paid your first instalment.

What the SPA actually contains

A standard SPA identifies the unit precisely: tower, floor, unit number, size and, where relevant, the floor plan attached as an annex. It states the total price and breaks it down into the payment plan you agreed, with each instalment tied to a percentage or a construction milestone. It sets out the expected handover date, usually with a grace period the developer is allowed before a delay counts as a breach. It also covers what happens if you miss a payment, what happens if the developer misses the handover date, and the process for transferring your rights to someone else before handover.

Two things worth reading closely rather than skimming: the termination clause, which describes what you keep or lose if you withdraw, and the variation clause, which describes what the developer can change about the unit or the building without it counting as a breach. Both are specified in the contract itself, not in a general rule that applies to every project the same way, so the answer for your unit is in your own SPA, confirmed by your adviser.

Where the SPA sits in the purchase sequence

You sign the SPA together with the reservation form when you book. Your first payment is then made into the project's escrow account, controlled by the Dubai Land Department, not into the developer's own account. The developer then registers the signed SPA with the DLD through the Oqood system, which is what makes your interest in that specific unit official on public record. From there, each instalment you pay follows the schedule written into the SPA, until handover and the issuing of a title deed in your name.

What an Orven adviser checks before you sign

We go through the SPA with you clause by clause before you transfer anything, in plain language rather than legal shorthand: the payment schedule, the termination terms, the handover date and grace period, and what the contract says about changes to the unit or building. If a clause is unclear or unusually strict compared with what we see on comparable projects, we tell you before you sign, not after. For a fuller picture of how escrow protects your payments once the SPA is signed, see our guide on the escrow account in Dubai.

Write to us on WhatsApp at +971 52 776 1939 or at sales@orvenproperties.com with the project you are considering, and we will send you the draft SPA to review before you reserve.

FAQ

Is the SPA the same as the reservation form? No. The reservation form confirms your intent to buy a specific unit and usually accompanies a small initial payment. The SPA is the full contract that follows, covering price, schedule, specification and obligations in detail.

Can I negotiate terms in the SPA? Some developers allow limited negotiation on payment timing; the core legal terms are generally standard across buyers for a given project. Your adviser tells you what is realistic to ask for on the project you are considering.

What happens if I do not understand a clause? Ask before you sign. Your adviser reads the SPA with you, and for anything requiring formal legal advice, such as a dispute or an unusual clause, we point you to independent counsel rather than interpret it ourselves.

Does the SPA get registered anywhere? Yes. Once signed, the developer registers it with the Dubai Land Department through Oqood, which creates an official record of your purchase before the title deed is issued at handover.
